Terms of Service

These Terms of Service ("Terms") govern your access to and use of AasanKhata (the "Service"), operated by GRAH AI SYSTEMS (OPC) PRIVATE LIMITED, an entity registered in India at Ahad Excellencia, Choodasandra, Carmelram, Bengaluru 560035, Karnataka, India ("GRAH AI SYSTEMS (OPC) PRIVATE LIMITED", "we", "us"). By creating an account or using any part of the Service, you agree to these Terms.

1. Eligibility

You must be 18 or older and competent to enter into a contract under the Indian Contract Act, 1872. If you sign up on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Your account

• You are responsible for maintaining the confidentiality of your login.
• You must provide accurate business and tax registration details. You are solely responsible for the accuracy of GSTINs, HSN/SAC codes, tax rates, and invoice content you create.
• We may suspend or terminate accounts that engage in fraud, misuse, or activity that violates Indian law.

3. Subscription, billing, and renewals

• Free tier users may create a limited number of invoices per month at no cost.
• Paid plans (Pro, Business, Premium) are billed monthly or annually in advance via Razorpay. Prices are listed at aasankhata.in/pricing.
• Payments are processed securely through Razorpay (PCI-DSS Level 1 compliant). We accept credit and debit cards, UPI, net banking, and international payment methods including PayPal. Prices are shown in your local currency where supported. We do not store your card or banking details.
• Subscriptions auto-renew at the end of each billing cycle unless cancelled. You can cancel anytime — see the Cancellation Policy.
• Refunds are governed by our Refund Policy.
• GST on subscription fees is charged where applicable and shown on your invoice.

4. Acceptable use

You will not, and will not permit any third party to:

• use the Service to issue fraudulent, fake, or misleading invoices;
• violate any tax law, including the Central Goods and Services Tax Act 2017, the Income-tax Act 1961, or rules made under them;
• reverse engineer, decompile, or attempt to extract source code;
• use the Service to harass, defraud, or threaten any person;
• send spam, unsolicited bulk email, or content that infringes third-party intellectual property;
• scrape, mass-download, or resell our HSN/SAC databases or tools;
• attempt to circumvent rate limits, plan limits, or paywalls;
• upload malware or content that violates Indian law.

5. Intellectual property

The Service, including the AasanKhata brand, software, designs, copy, free tools, and HSN/SAC datasets, is owned by GRAH AI SYSTEMS (OPC) PRIVATE LIMITED and protected by Indian and international copyright, trademark, and other laws. You receive a non-exclusive, non-transferable, revocable licence to use the Service as intended by these Terms.

Your data is yours. Invoices, clients, business profiles, and any content you create on the Service belong to you. You grant us a limited licence to host, display, and process this content solely to provide the Service.

6. Free tools and content

Tools at aasankhata.in/tools/* (GST calculator, invoice generator, HSN code finder, etc.) are provided free of charge for personal and commercial use. HSN/SAC code data, tax rates, and reference content are compiled from public Indian Government sources and are provided "as is" without warranty — verify with a qualified CA before filing.

7. Service availability

We aim for 99.9% monthly uptime but do not guarantee uninterrupted service. Scheduled maintenance is announced via email or in-product banner. We are not liable for downtime caused by force majeure events, third-party outages (Firebase, Razorpay, Vercel), or your local connectivity.

8. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by Indian law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy of tax calculations, and non-infringement. AasanKhata is software, not a chartered accountant — you remain responsible for tax filings, invoice accuracy, and compliance.

9. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service shall not exceed the fees paid by you to GRAH AI SYSTEMS (OPC) PRIVATE LIMITED in the twelve (12) months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity.

10. Indemnity

You agree to indemnify and hold GRAH AI SYSTEMS (OPC) PRIVATE LIMITED, its directors, employees, and agents harmless from any claim, demand, loss, damage, or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your violation of any law, or (c) your use of the Service to infringe a third party's rights.

11. Termination

• You may terminate at any time by deleting your account from settings.
• We may suspend or terminate access if you breach these Terms or engage in activity that exposes us to legal risk.
• On termination, paid subscriptions are governed by our Refund Policy.
• Sections 5, 8, 9, 10, 12, 13, and 14 survive termination.

12. Modifications

We may update these Terms. Material changes will be notified by email at least 14 days in advance. Continued use after the effective date constitutes acceptance.

13. Governing law and dispute resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed mutually. The seat and venue of arbitration shall be Bengaluru, Karnataka, India. Subject to arbitration, courts at Bengaluru shall have exclusive jurisdiction.
